Terms of Service

1. Scope

SwissNC is the software platform of jbdStudio, LLC. ("we", "us"). It is licensed to your facility under a written agreement with us (the "Agreement"), which sets its term, its fees and its renewal. These Terms are the conditions that apply whenever SwissNC is used by you or your authorized users. They apply alongside your Agreement, and where the two conflict, the Agreement controls.

Your access runs for the period the Agreement covers (the "Agreed Term"). Using SwissNC past it requires a renewal or a newly issued access token, and each renewal starts a new period.

Evaluation & Trial Access: If SwissNC is provided to you under an evaluation, trial, or beta authorization, you are granted a limited, non-exclusive, non-transferable license to use the software solely for internal evaluation purposes to assess suitability. You shall not use evaluation builds for live commercial production, revenue-generating activities, or commercial manufacturing operations.

2. Access & Distribution

The access links we issue are unique to you and tied to your account and the environment that requested them. You agree not to bypass or tamper with access tokens, alter or replace the files SwissNC serves, share or mirror its download links, or pass any part of SwissNC to anyone who is not an authorized user.

This Section does not apply to the third-party components identified in Section 9 as licensed under the GNU LGPL v2.1. You may replace those specific components with your own builds, as that license requires. See Section 9 for how.

3. Proprietary Rights & Use Restrictions

SwissNC's toolpath and synchronization engines, its post processor engine, its stock simulation, its user interface and the rest of its own source code are the exclusive property of jbdStudio, LLC. The third-party components identified in Section 9 are not: they belong to their own authors and are licensed to you on their own terms. You may not decompile SwissNC, reverse engineer it, or otherwise attempt to recover its source code, and you may not separate out its components for use outside SwissNC. You shall not publish, disclose, or distribute any performance evaluations, benchmark results, or competitive analysis of SwissNC to any third party without our prior written consent.

Feedback Assignment: If you or your authorized users provide any comments, suggestions, ideas, feature requests, or feedback regarding SwissNC ("Feedback"), you hereby assign to jbdStudio, LLC. all right, title, and interest in and to such Feedback without restriction, royalty, attribution, or compensation owed to you.

This Section does not apply to the third-party components identified in Section 9 as licensed under the GNU LGPL v2.1. As that license requires, you may modify those specific components for your own use, and reverse engineer them for the purpose of debugging your modifications. Nothing in this carve-out permits reverse engineering of jbdStudio's own proprietary code.

4. Liability Disclaimer

G-Code outputs, channel alignments, and synchronization edits generated by SwissNC are reference tools only and must be thoroughly verified by a qualified technician prior to spindle execution. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JBDSTUDIO, LLC., ITS DEVELOPERS, OWNERS AND OPERATORS SHALL HAVE NO LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER, including CNC machine crashes, tool or collet destruction, broken spindles, scrap material expenses, physical shop-floor injuries, or facility downtime resulting from software formatting behavior, errors, or omissions. You run all generated blocks entirely at your own risk. Where applicable law does not permit the exclusion or limitation of a particular liability, this Section applies to the fullest extent it does permit, and the remainder of these Terms stays in force.

5. Indemnification

By downloading, installing, or deploying SwissNC, you agree to fully indemnify, defend, and hold harmless jbdStudio, LLC., its developers, owners, and operators from and against any and all claims, damages, losses, costs, actions, liabilities, and expenses (including legal and attorney fees) arising directly or indirectly from your implementation, deployment, or use of the software on live production equipment or machinery.

6. Governing Law & Dispute Venue

These Terms and your use of the software shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania (PA), without regard to its conflict of law principles. You explicitly agree that if there is a dispute, any legal action, claim, or proceeding arising out of or relating to these terms or our software must be brought and disputed exclusively in the state or federal courts located in Pennsylvania, and you hereby submit to the personal jurisdiction of such courts.

7. No Warranty

SWISSNC IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Posted output depends on the control, the machine and the post processor in use, and the same program can behave differently from one control to another. Every program must be proven on the machine before it is run in production.

8. Expiry & Suspension of Access

Your authorization to operate SwissNC ends automatically upon expiration of the Agreed Term unless it is renewed. Termination of the underlying license is governed by your Agreement. Separately, jbdStudio, LLC. may suspend or withdraw your access before the end of the Agreed Term, without prior warning, if you breach these Terms, including tampering with access tokens, working around rate limits, or distributing SwissNC contrary to Section 2. Upon expiry, suspension or termination, jbdStudio, LLC. may invalidate any outstanding access tokens and suspend your organization's access. Sections 3 through 7 and Section 9 survive expiry or termination. Your rights in the open source components identified in Section 9 are granted by their own licenses, not by these Terms, and are unaffected by termination.

9. Third-Party Open Source Licenses

SwissNC incorporates the third-party open source components listed below. The complete notices and license texts are distributed with the application and reachable from the About icon in the toolbar.

LGPL v2.1, and your rights under it: each LGPL component above is kept separate, loaded at runtime, and is never bundled or inlined into SwissNC's own proprietary code. You may replace it with your own build, including a modified one, and you may reverse engineer that component for the purpose of debugging your modifications. Sections 2 and 3 of these Terms do not restrict any of this.

OCCT itself is unmodified and is publicly available at the tag named above, so its source is not reproduced here. jbdStudio, LLC. will supply the source you would need to relink against your own OCCT, and the corresponding source for any other LGPL component above, on request, for no more than the cost of distribution, for at least three years from the date you received the software.
